StartEngine's Compliance & Legal Team Team is responsible for providing Compliance & Legal resources to StartEngine's business lines, Issuer's fundraising on the StartEngine platform and StartEngine's business teams. The Compliance & Legal Team focuses on diligence review and offering materials preparation for Regulation Crowdfunding and Regulation A+ offerings, marketing legal counsel and review, management of regulatory responses and direct day-to-day support for StartEngine's sales, marketing, engineering and onboarding teams. Our team ensures completeness, compliance, and accuracy of this information across all campaigns. This role will report to the Director, Compliance & Corporate Counsel.
We are seeking organized, detailed, and excitable individuals with strong legal background in corporate law to join the team as a Corporate Counsel - Compliance and Due Diligence, with significant opportunity for growth. Upon entering this role, you will become an expert at a brand new industry, providing applicable experience in law, finance, marketing, and various business fields. ResponsibilitiesReview campaign offering pre-launch materials and legal and financial documents to confirm accuracy and thoroughnessManage the due-diligence process for all companies raising capital on the platform (both Title III and Title IV companies) and ensure compliance with both RegulationsSupport the company via leading education and trainings for StartEngine Team Members on applicable issuesAssist sales team in identifying high potential companies for raising capital that are in the review pipelineReview and improve internal processes on a cyclical, ongoing basis, in order to create the best experience possible for customersProvide drafting support for company contractsProvide review of marketing and advertising itemsOur Ideal Candidate:Licensed attorneyWorking at least 1-2 years at a law firm or startup handling corporate transactional matters (NOT LITIGATION) who is experienced with securities offerings, M&A transactions, basic corporate attorney at a firmLooking to have a better work/life balance with no billable hours - work from home/remote flexibilityGrowing legal team with opportunities in the future in different fieldsRequirements:REQUIRED: Juris Doctor from an ABA law schoolREQUIRED: post JD work experience at a law firm and/or in-houseREQUIRED: Bar license in at least one state / ability to register as in-house counselREQUIRED: Understanding of corporate structure, securities, formation, etc. (C-Corps vs. LLC's ; stock vs membership interests)REQUIRED: Experience preparing or reviewing corporate legal documents (articles of incorporation, operating agreements, etc.)Strong interest in capital raising, crowdfunding, and working with startupsDesire to work in a startup environment (fast paced & frequently changing!)Superb organizational and tracking skillsGreat attention to detailAbility deliver results while managing multiple projects and working in a fast-paced environmentLevelheaded problem solver with a professional, service-oriented attitudeTeam player who also excels as an individual contributorAdaptable, dependable, and responsibleProject management experience or demonstrated skillsDemonstrated ability to push projects over the finish lineOutstanding verbal and written communication skillsAbility to follow communication guidelines with respect to SEC and FINRA regulationsPerks & Benefits100% covered Medical/Dental/Vision - pick your own planGenerous Equity packageUnlimited PTO and sick daysPaid WeWork Usage (optional)100% RemoteTeam Off-sitesPaid Maternity/Paternity leaveTeam Happy Hours401K programFlexible hoursBe part of one of the fastest growing parts of the FinTech IndustryA chance to work with a highly profitable and rapidly expanding startup (not VC funded)
